Terms of Use — Uurly

These Terms of Use ("Terms") govern your use of the Uurly mobile application (the "app") and the website uurly.com (the "website", together the "services"), operated by Dombyte Studio, a business registered in the Netherlands (KvK number: 42083302), based in Utrecht ("we", "us").

By downloading, installing, or using the app, or by using the website, you agree to these Terms. If you do not agree, do not use the services.

You must be at least 16 years old to use the services. Uurly is a business tool intended for freelancers and contractors; you may use it for personal or business purposes.

1. License

We grant you a personal, non-exclusive, non-transferable, revocable license to use the app on devices you own or control, in accordance with these Terms and the rules of the app store you downloaded it from (Apple App Store or Google Play).

You may not copy, modify, distribute, sell, rent, or sublicense the app, reverse engineer or decompile it except where the law permits, or use it to build a competing product.

Your data is yours. You retain all rights to the content you create in Uurly — your clients, projects, time entries, expenses, invoices, and business details. We claim no ownership of it.

2. Your data and your responsibility

Uurly stores all of your data locally on your device. We do not run servers that hold a copy, and we cannot recover your data for you. You are responsible for backing up documents you need to keep — for example by exporting invoices — and for complying with any record-keeping obligations that apply to your business. Deleting the app deletes your data.

3. Free tier and Uurly Pro

Uurly offers a free tier with usage limits (such as a maximum number of clients, projects, and invoices per month) and a paid subscription, Uurly Pro, which removes those limits and unlocks additional features (such as exports and invoice customization). The current limits, features, prices, and billing periods are always shown in the app and in the store listing before you purchase. We may change what is included in the free tier or in Uurly Pro; changes will not take away functionality you have already paid for during a paid period.

4. Subscription terms

Uurly Pro is an auto-renewable subscription purchased through the Apple App Store or Google Play:

  • Payment is charged to your Apple or Google account when you confirm the purchase.
  • The subscription renews automatically unless you cancel it at least 24 hours before the end of the current billing period. Your account is charged for the renewal within 24 hours before the current period ends, at the price shown when you subscribed (or as later notified).
  • You can manage or cancel your subscription at any time in your device's account settings: App Store → Apple Account → Subscriptions (iOS) or Google Play → Payments & subscriptions (Android). Deleting the app does not cancel a subscription.
  • Cancelling stops future renewals; you keep Pro access until the end of the period you already paid for. No refund is issued for the unused remainder of a period, except as described in Section 5.
  • If we change the subscription price, the store will notify you in advance, and where required will ask for your consent; you can cancel before the change takes effect.
  • If a free trial or introductory offer is available, its length and conditions are shown before purchase. Any unused portion of a free trial is forfeited when you purchase a subscription.

Purchases can be restored on a new device via "Restore purchases" in the app.

5. Refunds and your right of withdrawal

Because payment is processed by Apple or Google, refunds are handled by them under their own policies — we cannot issue refunds directly. To request one: Apple users via reportaproblem.apple.com, Google Play users via their order history.

If you are a consumer in the European Union or the United Kingdom, you have a statutory 14-day right of withdrawal for digital purchases. When you purchase through the App Store or Google Play, you consent to immediate delivery of the digital content, and the stores implement the withdrawal right in accordance with applicable law through their refund processes. Nothing in these Terms limits your statutory rights.

6. Invoices and no professional advice

Uurly generates invoices and reports based entirely on the information you enter — rates, hours, tax percentages, tax identifiers, and business details. Uurly does not provide tax, accounting, or legal advice, and does not verify that your invoices meet the legal requirements of your jurisdiction (such as Dutch BTW, UK VAT, or US tax rules). You are responsible for reviewing every generated document and for the accuracy, completeness, and legal compliance of the invoices you send.

7. Website and promotional offers

The website provides information about Uurly and may offer promotions, such as early-access programs or discounted or free Pro access. Promotional offers are discretionary, limited in availability, may carry their own conditions, and may be modified or withdrawn at any time — except that a benefit already granted to you (for example, a promised free Pro grant) will be honored.

8. Acceptable use

You agree not to use the services for unlawful purposes (including issuing fraudulent invoices), attempt to gain unauthorized access to our systems or those of our providers, interfere with the operation of the services, or abuse promotional offers (for example, by using multiple identities).

9. Availability and changes

We provide the services "as is" and "as available". We work to keep Uurly reliable, but we do not guarantee uninterrupted or error-free operation. We may add, change, or remove features, and may discontinue the app or website with reasonable advance notice; if the app is discontinued while you have an active paid period, you remain entitled to a pro-rata remedy through the applicable store.

10. Disclaimer of warranties and limitation of liability

To the maximum extent permitted by law, we disclaim all warranties not expressly stated in these Terms, and our total liability arising out of or related to the services is limited to the amount you paid us for the services in the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for intent (opzet) or deliberate recklessness (bewuste roekeloosheid), for death or personal injury caused by our negligence, or for any liability that cannot be excluded under applicable law. If you are a consumer, you keep all rights and remedies granted by the mandatory consumer protection laws of your country of residence; these Terms do not limit them.

11. Termination

You may stop using the services at any time; cancel any subscription through your store account settings as described in Section 4. We may suspend or terminate your license if you materially breach these Terms. Provisions that by their nature should outlast termination — including Sections 2, 6, 10, and 12 — remain in effect.

12. Governing law and disputes

These Terms are governed by the laws of the Netherlands. If you are a consumer residing in another country, you also benefit from any mandatory provisions of the law of your country of residence, and you may bring proceedings in your local courts where the law allows it.

If you have a complaint, please contact us first at legal@uurly.com — we will try to resolve it directly. Consumers in the EU may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Apple and Google

These Terms are between you and Dombyte Studio, not with Apple Inc. or Google LLC. Apple and Google have no obligation to provide maintenance or support for the app and are not responsible for addressing claims relating to it, but Apple (and its subsidiaries) is a third-party beneficiary of these Terms for the app as distributed through the App Store and may enforce them against you.

14. Changes to these Terms

We may update these Terms as the services evolve. The current version is always available at uurly.com/terms, with its effective date at the top. For material changes we will notify you in the app before they take effect; continued use after that date constitutes acceptance.
